Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (“you,” “your,” or “Customer”) and StampSherpa (“StampSherpa,” “we,” “us,” or “our”) governing your access to and use of the StampSherpa websites, applications, and services (collectively, the “Service”). By creating an account, clicking “sign up,” submitting a website, generating or sending any mail, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility & authority

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms, and “you” refers to that entity. You are responsible for everything that happens under your account.

2. The Service

StampSherpa helps you generate, personalize, and mail physical postcards, including by analyzing a website you provide, generating copy and imagery with artificial intelligence, and submitting print-and-mail orders through third-party vendors. The Service is provided on an “as available” basis. We may add, change, suspend, or discontinue any part of the Service at any time, for any reason, without liability to you. We do not guarantee any particular result, response rate, deliverability, timing, print quality, or return on investment.

3. Accounts

You agree to provide accurate information and to keep your account credentials secure. You are responsible for all activity under your account, whether or not authorized by you. We may refuse, suspend, or terminate accounts, and reclaim usernames, at our sole discretion.

“Your Content” means everything you submit or make available through the Service, including your website URL, brand assets, logos, copy, images, offers, and recipient lists and addresses. You retain ownership of Your Content. You grant StampSherpa a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, create derivative works from, process, transmit, and display Your Content for the purposes of operating, providing, securing, improving, and developing the Service (including using third-party and AI providers to do so). You represent and warrant that you own or have all rights necessary to grant this license and that Your Content does not infringe or violate any third-party right or any law.

6. Recipient data & mailing responsibility

You are solely responsible for the recipients you mail and the data you provide about them. You represent and warrant that, for every recipient and mailing, you have all rights and a lawful basis to possess the data and to send the mail, and that the mailing complies with all applicable laws, regulations, and postal requirements. As between you and us, you are the controller of recipient data and we act as your service provider/processor and print-and-mail agent, acting on your instructions. You are responsible for honoring opt-out, suppression, and “do not mail” requests and for the accuracy and deliverability of the addresses you provide. We may, but are not obligated to, screen, verify, or reject any mailing.

You agree not to use the Service to:

We may investigate and may remove content, refuse or cancel mailings, and suspend or terminate accounts at our sole discretion, with or without notice. You will reimburse us for any costs (including vendor and postage charges) we incur due to your violation of these Terms.

8. AI-generated content & review before sending

The Service uses artificial intelligence to generate copy and imagery. AI output may be inaccurate, incomplete, offensive, or unsuitable, and may resemble other works. You are responsible for reviewing and approving every postcard before it is sent. While we aim to make the preview reflect what is printed, you acknowledge that final responsibility for the content, accuracy, legality, and suitability of each mailing is yours. We make no representation that AI output is original, non-infringing, or fit for any purpose.

9. Third-party services

The Service relies on third parties, including payment processing, print-and-mail vendors, the United States Postal Service, and AI and infrastructure providers. We are not responsible for the acts, omissions, pricing, availability, delivery, timing, or performance of any third party, and your use of their outputs may be subject to their terms. Delivery dates and postal performance are estimates only and are not guaranteed.

10. Intellectual property

The Service, including all software, designs, templates, layouts, models, and trademarks (other than Your Content), is owned by StampSherpa and its licensors and is protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your internal business purposes, subject to these Terms. We may use de-identified and aggregated data derived from your use to operate and improve the Service. Any feedback you provide may be used by us without restriction or obligation to you.

11. Disclaimers

The Service and all content, AI output, and mail are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. StampSherpa does not warrant that the Service will be uninterrupted, secure, error-free, or that any mail will be delivered, delivered on time, printed correctly, or achieve any result.

12. Limitation of liability

To the maximum extent permitted by law, StampSherpa and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service or these Terms, even if advised of the possibility. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid us for the Service in the three (3) months immediately before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the smallest extent permitted by law.

13. Indemnification

You will defend, indemnify, and hold harmless StampSherpa and its owners, employees, contractors, and suppliers from and against any and all claims, demands, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and vendor and postage costs) arising out of or relating to: (a) Your Content or your recipient data; (b) any mail you create, approve, or send; (c) your use of the Service; (d) your violation of these Terms or any law or third-party right; or (e) any dispute between you and a recipient or third party.

14. Suspension & termination

We may suspend or terminate your access to all or part of the Service at any time, with or without cause and with or without notice. You may stop using the Service at any time; cancellation takes effect at the end of your current billing period and does not entitle you to a refund. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive (including Sections 4–6 and 10–16) survive termination.

15. Dispute resolution; binding arbitration; class waiver

Please read this section carefully. It affects your legal rights. Except for claims that qualify for small-claims court and requests for injunctive relief to protect intellectual property, you and StampSherpa agree to resolve any dispute arising out of or relating to the Service or these Terms by final and binding individual arbitration administered by a recognized arbitration provider, rather than in court. You and StampSherpa waive the right to a jury trial and the right to participate in any class, collective, or representative action. Arbitration will be conducted on an individual basis only. You may opt out of this arbitration agreement by emailing support@stampsherpa.io within 30 days of first accepting these Terms. Any claim must be brought within one (1) year after it arises, or it is permanently barred to the extent allowed by law.

16. Governing law

These Terms are governed by the laws of the State of Washington, U.S.A., without regard to conflict-of-laws rules. Subject to Section 15, the state and federal courts located in King County, Washington have exclusive jurisdiction, and you consent to personal jurisdiction and venue there.

17. Changes to these Terms

We may modify these Terms at any time by posting the updated Terms with a new “Last updated” date. Changes are effective when posted. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms. If you do not agree, your sole remedy is to stop using the Service.

18. Miscellaneous

These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede all prior agreements. If any provision is found unenforceable, it will be limited or severed and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. We are not liable for delays or failures caused by events beyond our reasonable control. Notices to you may be provided through the Service or your account email.
